MEDIA SERVICES AGREEMENT
This Media Services Agreement (“Agreement”) is between SCC Holdings Media (“SCC”) and the client identified below (“Client”).

This Agreement and the selected package description define the services provided by SCC.
1. SERVICES
SCC will provide the media services included in Client's selected package, which may include content strategy, copywriting, content creation, video editing, social media management, scheduling, publishing, campaign development, analytics, optimization, and related media services.
Content quantities and included services are determined by the package purchased.
Services outside the selected package require separate written approval and may incur additional fees.
2. TERM & PAYMENT
Client agrees to the 6- or 12-month term selected above.
Services are billed monthly. Payment is due within _____ days of invoice.
A 12-month agreement receives the applicable annual-partner pricing and benefits. A 6-month agreement receives the full monthly services of the selected package but does not receive annual-partner benefits unless otherwise stated in writing.
Failure to make payment may result in suspension of services.
3. CLIENT RESPONSIBILITIES
Client will provide SCC with the materials, product information, account access, approvals, and cooperation reasonably necessary to perform the Services.
Client is responsible for the accuracy of information supplied to SCC and represents that it has permission to use any photographs, videos, logos, trademarks, music, or other materials supplied to SCC.
Delays in receiving Client materials, approvals, products, access, or information may delay production or publishing.
4. CONTENT OWNERSHIP
Client retains ownership of all original materials and intellectual property supplied by Client.
SCC retains ownership and copyright in original photography, video, graphics, written creative work, and other media created by SCC (“SCC-Created Media”), unless SCC expressly transfers ownership in writing.
After all applicable invoices are paid, Client receives a perpetual, worldwide, royalty-free commercial license to use SCC-Created Media delivered under this Agreement for Client's business, marketing, advertising, websites, social media, and other commercial purposes.
Client's license survives termination of this Agreement.
5. SCC MEDIA & MONETIZATION RIGHTS
Client understands that SCC operates its own websites, social channels, media properties, and monetized platforms.
SCC retains the right to publish, display, edit, excerpt, repurpose, distribute, promote, and monetize SCC-Created Media through SCC-owned or controlled media properties.
This includes SCC-Created Media featuring Client's products, facility, brand, or authorized representatives and media featuring SCC employees, representatives, presenters, or talent.
SCC may earn advertising, platform, affiliate, sponsorship, licensing, or other media revenue from SCC's independent use of SCC-Created Media.
Revenue generated through SCC-owned or controlled media properties belongs exclusively to SCC unless otherwise agreed in writing.
SCC will not sell or license Client's pre-existing intellectual property as standalone content or materially misrepresent Client or its products.
6. PEOPLE APPEARING IN MEDIA
Client is responsible for obtaining permission from its employees, contractors, guests, or representatives who participate in filming.
SCC retains all necessary rights regarding SCC employees, contractors, presenters, and SCC-provided talent appearing in SCC-Created Media.
Client may use SCC talent as they appear in delivered media but may not separately use their name, image, voice, or likeness to create new endorsements, AI-generated performances, advertisements, or other content without written permission.
Separate written parental or guardian authorization is required before filming minors.
7. RAW MEDIA & PROJECT FILES
Raw footage, unused photographs, editing files, templates, working files, and internal production materials are not included unless specifically stated in Client's package or production agreement.
If Client purchases a package that includes a raw media library, Client receives the usage license described in Section 4 for the delivered raw media.
8. AI & DIGITAL MEDIA
SCC may use AI-assisted technology for editing, graphics, research, copy development, optimization, and workflow purposes.
When SCC physically films or photographs Client's products, the underlying product footage and photography are original media captured by SCC.
If Client does not provide sufficient media and has not purchased SCC production services, digitally created or AI-assisted visual content may be used when reasonably necessary to maintain the contracted publishing schedule.
9. PERFORMANCE
SCC will use professional judgment and reasonable efforts to develop and distribute Client's media.
However, SCC does not guarantee specific views, followers, engagement, leads, sales, revenue, conversions, or other performance results.
Social-media performance is affected by algorithms, audience behavior, market conditions, platform policies, and other factors outside SCC's control.
10. CANCELLATION
Client is reserving SCC's services for the full term selected above.
Either party may terminate this Agreement for a material breach that remains uncured for _____ days after written notice.
If Client elects to terminate the Agreement early for reasons other than an uncured material breach by SCC, Client agrees to pay:

Termination does not eliminate outstanding invoices or change the ownership and usage rights already granted under this Agreement.
11. CONFIDENTIALITY
SCC and Client agree to reasonably protect confidential business, financial, customer, technical, and strategic information received from the other party.
SCC's media and portfolio rights do not permit SCC to disclose Client's confidential information.
12. LIABILITY
Each party is responsible for materials, claims, representations, and intellectual property it supplies.
To the maximum extent permitted by law, SCC will not be liable for indirect, consequential, or special damages or for losses resulting from third-party social platforms, account restrictions, outages, algorithm changes, or circumstances outside SCC's reasonable control.
13. INDEPENDENT CONTRACTOR
SCC is an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or ownership interest between SCC and Client.
14. GOVERNING LAW
This Agreement is governed by the laws of the State of __________________.
The parties agree to first attempt to resolve disputes through good-faith negotiation and, if necessary, mediation before pursuing litigation, except where immediate legal relief is reasonably necessary.
15. ENTIRE AGREEMENT
This Agreement, Client's selected package, and any signed production addendum or Statement of Work constitute the complete agreement between SCC and Client.
Changes must be agreed to in writing by both parties.
Electronic signatures are acceptable.
ACCEPTANCE
By signing below, both parties acknowledge that they have read, understood, and agreed to this Agreement.
